Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Expired Solutions, LLC ("Company," "we," "us," or "our") governing your access to and use of the Xpired mobile application ("App"), website, and related services (collectively, the "Services").

By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Services.

1. Eligibility and Accounts

1.1 Age Requirements

You must be at least 13 years old to use the App. If you are under 18, you represent that you have your parent or guardian's permission to use the App, and that your parent or guardian has reviewed and agreed to these Terms on your behalf.

1.2 Account Creation

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities that occur under your account

1.3 Account Termination

We reserve the right to suspend or terminate your account for reasons including violation of these Terms. To request deletion, use the App's Settings control when it is available in your current build or email privacy@expiredsolutions.com. The Privacy Policy describes verification, deletion or de-identification, lawful exceptions, and backup lifecycles.

2. Description of Services

Xpired is a changing beta application. The current build is designed around manual grocery entry and use-by planning:

• Enter groceries manually or review items suggested from a fridge photo; save supported items to a personal inventory, subject to the limits shown in the App
• Scanner, AI freshness scoring, recipe suggestions, receipt import, price comparisons, cross-device or cloud synchronization, merchant analytics, integrations, and other features are planned concepts. Planned concepts shown elsewhere are not part of the Service unless they are actually available in your current App build.

Available features and their connection requirements may change between beta builds. Use-by windows are planning guidance only, not a food-safety, shelf-life, expiration-date, or quality guarantee.

Freshness output is supplemental guidance only, not a food-safety, shelf-life, expiration-date, or quality guarantee. Use human judgment and follow applicable food-safety guidance.

3. Current Beta and Payments

3.1 Free Beta

Xpired is currently offered as a free beta. We do not currently sell Xpired Pro, start paid trials, or charge recurring subscription fees through the App.

3.2 Marketplace Reservations

• If a participating listing is actually available, the App can show that listing, confirm a pickup reservation, and display the amount due at pickup; no store or listing availability is promised
• Xpired does not currently process card, Apple Pay, or Google Pay payments for marketplace reservations
• You pay the participating store in person using a payment method the store accepts
• The store's policies and applicable law govern the payment receipt, returns, refunds, and other remedies

3.3 Future Paid Features

If we introduce a paid plan or in-app payment in the future, we will disclose the price, billing period, renewal terms, cancellation method, and any additional terms before you enroll or authorize a charge. Planned pricing shown elsewhere is not a current offer.

4. Acceptable Use

You agree not to use the App for any purpose that is unlawful or prohibited by these Terms. Specifically, you agree NOT to:

• Use the App in any manner that could disable, overburden, damage, or impair the service
• Attempt to gain unauthorized access to any part of the App or related systems
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code
• Remove or alter any proprietary notices or labels on the App
• Use the App to transmit any malware, viruses, or harmful code
• Scrape, data mine, or use automated means to access the App
• Abuse the scan API or attempt to circumvent rate limits
• Use the App for any illegal purpose or in violation of any local, state, national, or international law
• Infringe upon or violate our intellectual property rights or the rights of others

5. AI Technology and Limitations

5.1 Accuracy of AI Predictions

• Any image-based freshness output exposed by a verified build is an estimate, not a guarantee
• Any evaluated performance may vary by produce type, lighting conditions, image quality, model version, and build
• Always use your own judgment when determining if food is safe to consume
• When in doubt about food safety, consult a qualified professional or discard the item

5.2 Food Safety

We are not responsible for any adverse health outcomes from relying solely on our AI predictions. The App does not replace proper food safety practices, including checking for visible signs of spoilage, following expiration dates, and maintaining proper food storage temperatures.

6. Intellectual Property

6.1 Our Intellectual Property

The App, including all content, features, AI models, software, algorithms, designs, text, graphics, logos, and images, is owned by Expired Solutions, LLC and is protected by copyright, trademark, patent, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial use, subject to these Terms.

6.2 Your Content

You retain ownership of content you submit to the App, including scan images and inventory data. You grant us a non-exclusive, royalty-free license to process that content only as reasonably needed to provide, secure, maintain, and troubleshoot the enabled Services and as otherwise described in the Privacy Policy. Scan photos are used to train or improve AI models only when you separately enable the training opt-in described in that policy; accepting these Terms is not consent to model training.

6.3 Feedback

Any feedback, suggestions, or ideas you provide about the App may be used by us without restriction or compensation to you.

7. Data and Privacy

Our Privacy Policy describes our data practices. Where consent is legally required for a particular use, it will be requested separately; accepting these Terms is not blanket consent to every form of data processing.

8. Account Deletion

You may request account deletion through the App when the control is available in your current build, or by emailing privacy@expiredsolutions.com:

1. Open the App and use Settings → Delete Account if shown; or
2. Email privacy@expiredsolutions.com from the address associated with your request
3. Complete reasonable verification if requested

A verified deletion request initiates the following, subject to the Privacy Policy:

• Delete or de-identify account-linked personal data in active systems
• Delete or de-identify account-linked scan history, inventory, and preferences
• End access associated with the deleted Xpired account
• Terminate access associated with the deleted account

Limited records may remain for legal, security, fraud-prevention, dispute, enforcement, or backup-lifecycle reasons described in our Privacy Policy. Opt-in training images are handled under its consent-withdrawal and removal process. We do not promise that every copy is immediately or permanently purged.

9. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT
• WARRANTIES THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS
• WARRANTIES THAT THE APP WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR AI PREDICTIONS

YOUR USE OF THE APP IS AT YOUR SOLE RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EXPIRED SOLUTIONS LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

• LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• DAMAGES RESULTING FROM FOODBORNE ILLNESS OR OTHER HEALTH ISSUES
• DAMAGES RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE APP
• DAMAGES RESULTING FROM ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE APP

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE APP IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR $100 USD, WHICHEVER IS GREATER.

11. Indemnification

You agree to defend, indemnify, and hold harmless Expired Solutions, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the App, your violation of these Terms, or your violation of any rights of another.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Pennsylvania, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the App shall first be attempted to be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in Pittsburgh, Pennsylvania, in accordance with the rules of the American Arbitration Association.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of any material changes by posting the updated Terms in the App and updating the "Last Updated" date. Your continued use of the App after any changes constitutes acceptance of the new Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Expired Solutions, LLC regarding the App and supersede all prior agreements and understandings.
