Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Expired Solutions LLC ("Company," "we," "us," or "our") governing your access to and use of the Xpired mobile application ("App"), website, and related services (collectively, the "Services").

By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Services.

1. Eligibility and Accounts

1.1 Age Requirements

You must be at least 13 years old to use the App. If you are under 18, you represent that you have your parent or guardian's permission to use the App, and that your parent or guardian has reviewed and agreed to these Terms on your behalf.

1.2 Account Creation

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities that occur under your account

1.3 Account Termination

We reserve the right to suspend or terminate your account at any time for any reason, including violation of these Terms. You may delete your account at any time through the App's Settings menu.

2. Description of Services

Xpired is an AI-powered mobile application designed to help users reduce food waste by:

• Analyzing the freshness of fruits and vegetables through camera scanning
• Tracking food inventory and expiration dates
• Providing storage recommendations and recipe suggestions
• Offering price comparisons for replacement items

The App requires an active internet connection for most features, including AI scanning and cloud synchronization.

3. Subscriptions and Payments

3.1 Subscription Tiers

• All payments are processed through Apple App Store using your Apple ID
• Subscription fees are charged in advance on a recurring basis (monthly or annually)
• Prices are displayed in the App and may be subject to change with notice
• You are responsible for all applicable taxes

3.3 Free Trial

New subscribers may receive a 7-day free trial of Xpired Pro. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel at least 24 hours before the trial ends.

3.4 Auto-Renewal and Cancellation

• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period
• You can manage or cancel your subscription through your Apple ID Account Settings
• Cancellation takes effect at the end of the current billing period
• No refunds or credits for partial subscription periods

4. Acceptable Use

You agree not to use the App for any purpose that is unlawful or prohibited by these Terms. Specifically, you agree NOT to:

• Use the App in any manner that could disable, overburden, damage, or impair the service
• Attempt to gain unauthorized access to any part of the App or related systems
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code
• Remove or alter any proprietary notices or labels on the App
• Use the App to transmit any malware, viruses, or harmful code
• Scrape, data mine, or use automated means to access the App
• Abuse the scan API or attempt to circumvent rate limits
• Use the App for any illegal purpose or in violation of any local, state, national, or international law
• Infringe upon or violate our intellectual property rights or the rights of others

5. AI Technology and Limitations

5.1 Accuracy of AI Predictions

• AI freshness scores are estimates, not guarantees
• Accuracy varies by produce type, lighting conditions, and image quality
• Always use your own judgment when determining if food is safe to consume
• When in doubt about food safety, consult a qualified professional or discard the item

5.2 Food Safety

We are not responsible for any adverse health outcomes from relying solely on our AI predictions. The App does not replace proper food safety practices, including checking for visible signs of spoilage, following expiration dates, and maintaining proper food storage temperatures.

6. Intellectual Property

6.1 Our Intellectual Property

The App, including all content, features, AI models, software, algorithms, designs, text, graphics, logos, and images, is owned by Expired Solutions LLC and is protected by copyright, trademark, patent, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial use, subject to these Terms.

6.2 Your Content

You retain ownership of any content you submit to the App, including scan images and inventory data. By using the App, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your content solely for the purpose of providing and improving our Services.

6.3 Feedback

Any feedback, suggestions, or ideas you provide about the App may be used by us without restriction or compensation to you.

7. Data and Privacy

Your use of the App is also governed by our Privacy Policy, which is incorporated by reference into these Terms. By using the App, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

8. Account Deletion

You may delete your account at any time through the App:

1. Open the App and go to Settings
2. Scroll to the bottom of the Settings page
3. Tap "Delete Account"
4. Confirm the deletion

Account deletion will:

• Permanently remove all your personal data from our active systems
• Delete your scan history, inventory, and preferences
• Cancel any active subscriptions (you must cancel subscriptions separately through Apple)
• Irreversibly terminate your account

Some information may be retained for legal or accounting purposes as required by law. Data retained for AI training may remain in anonymized form.

9. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT
• WARRANTIES THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS
• WARRANTIES THAT THE APP WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR AI PREDICTIONS

YOUR USE OF THE APP IS AT YOUR SOLE RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EXPIRED SOLUTIONS LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

• LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• DAMAGES RESULTING FROM FOODBORNE ILLNESS OR OTHER HEALTH ISSUES
• DAMAGES RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE APP
• DAMAGES RESULTING FROM ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE APP

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE APP IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR $100 USD, WHICHEVER IS GREATER.

11. Indemnification

You agree to defend, indemnify, and hold harmless Expired Solutions LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the App, your violation of these Terms, or your violation of any rights of another.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Pennsylvania, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the App shall first be attempted to be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in Pittsburgh, Pennsylvania, in accordance with the rules of the American Arbitration Association.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of any material changes by posting the updated Terms in the App and updating the "Last Updated" date. Your continued use of the App after any changes constitutes acceptance of the new Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Expired Solutions LLC regarding the App and supersede all prior agreements and understandings.
